These terms tell you the rules for using our software application (our app) and platform of propi.app (our site).

Welcome to Propi Technologies FZ LLC (“Propi”, “we”, “our”, or “us”). By downloading, accessing, or using our mobile application (“App” and collectively, “Services”), you agree to these Terms & Conditions (“Terms”) as a legally binding contract between you and us. If you do not agree, you must not use our services..

1. Company Information

This App is operated by Propi Technologies FZ LLC, registered in the United Arab Emirates at; Compass Building, Al Shohada Road, Ras Al Khaimah, UAE. These Terms are governed by the laws of the United Arab Emirates.

2. Acceptance of Terms & Updates

By downloading, installing, accessing, or using the Services, you accept these Terms and our Privacy Policy and Subscription Terms (collectively, the “Agreement”). We may update these Terms at any time. Material changes will be posted in-App or on our site. Continued use after the effective date constitutes acceptance. If you do not agree, discontinue use before changes take effect.

3. Eligibility & Use on Behalf of an Entity

You must be 18+ (or the age of majority in your jurisdiction). If you use the Services for an organization, you represent you have authority to bind that entity; “you” includes that entity.

4. Description of Service

Propi is a software-as-a-service (SaaS) mobile application for real estate content creation. We provide tools such as AI-powered image enhancements, media tools such as video and virtual tours, and auto-generated descriptions and audio for agents, agencies, developers, and private sellers. We may add, modify, or discontinue features (including beta/experimental features) without notice. Propi is not a real estate agency, broker, or property intermediary. We do not guarantee the accuracy, legality, or success of any property listing or transaction.

5. User Accounts & Access

Some features require or are enhanced by an account (via Apple, Google, or email). Account creation is optional, but you must provide accurate information and keep it current. You are responsible for all activity under your account and for safeguarding credentials. Notify us promptly of unauthorized use. We may refuse, suspend, or terminate accounts for breach, misuse, fraud, or risk.

6. Organization Access & Account Management

Accounts are registered to you or your company. Within your organization, you may authorize team members, but you remain responsible for their compliance. We may send notices to the email or mobile number linked to your account. Keep contact and billing details up to date.

7. Acceptable Use

You agree to use the App only in compliance with applicable laws and industry standards, and not to engage in or permit any activity that is unlawful, harmful, or disruptive. You must not use the App for purposes that violate laws relating to privacy, publicity, intellectual property, or other applicable regulations, nor may you upload or share content that is harmful, offensive, defamatory, misleading, fraudulent, or otherwise illegal. You may not infringe upon the intellectual property rights of others, nor attempt to reverse engineer, decompile, or otherwise gain unauthorized access to the App’s source code. The Services must not be used to create or support a competing product, nor may they be used in connection with high-risk activities. You must not interfere with or disrupt the App’s functionality, servers, or networks, introduce malware or harmful code, or engage in scraping, crawling, or other unauthorized data collection. In addition, you must not misrepresent property attributes, or publish listings that violate real estate advertising rules or industry standards applicable in your jurisdiction. Propi reserves the right to block or remove content and to suspend or terminate your access if you violate these requirements.

8. Subscriptions, Trials, Billing, Cancellation

Propi operates on a freemium model, offering a free tier with limited features and a paid Pro tier available through monthly or annual subscription plans. A free trial may be offered and may require you to provide valid payment details. Unless you cancel your trial at least 24 hours before it ends, it will automatically convert into a paid subscription. All subscriptions renew automatically unless canceled. Payments are processed through the Apple App Store, Google Play Store, or by credit card, and by subscribing you authorize Propi and/or these third-party platforms to store and charge your chosen payment method. To cancel, you must manage your subscription through your Apple ID or Google Play account settings at least 24 hours before the next renewal date; deleting the App does not cancel your subscription. Canceled subscriptions remain active until the end of the current paid period. 

We may adjust subscription pricing from time to time, with applicable taxes and fees being your responsibility. If you do not agree to a price change, you must cancel your subscription before the new pricing takes effect. All payments are non-refundable, except where required by law. For purchases made via the Apple App Store or Google Play Store, any refund eligibility is governed solely by their respective policies and must be requested directly from them. Propi does not process refunds for App Store or Google Play transactions.

9. Content & Licence to Propi

You retain ownership of images, videos, text, and other materials you upload (“User Content”). You grant Propi a non-exclusive, worldwide license to use, display, host, reproduce, adapt, process and distribute such user content in connection to providing and improving the Services; and to create and display Propi’s own marketing materials (e.g., product demos, website/app store showcases, social channels, etc). We may remove or disable access to content at our discretion (e.g., upon notice of infringement, illegality, or policy breach). All intellectual property rights in the App remain the property of Propi Technologies FZ LLC.

10. AI-Generated Outputs & Third-Party Providers

Portions of the Services rely on third-party AI and infrastructure (e.g., OpenAI, ElevenLabs, cloud providers, analytics, app stores, payment processors). The Services may link to or integrate third-party sites/services. We do not control and are not responsible for those services or their terms/privacy. Your use of third-party services is at your risk and subject to their policies. No Guarantees: AI outputs may be inaccurate, incomplete, or unsuitable. You are solely responsible for reviewing outputs and ensuring compliance with law and industry rules before use or publication. No Liability: To the maximum extent permitted by law, Propi assumes no liability for AI outputs or third-party services outside our reasonable control.

11. Service Availability, Accuracy, Changes & Interruptions

Access may be interrupted for maintenance, updates, failures, or events beyond our control. Network/data charges from your carrier may apply. We may modify or discontinue features at any time. Information in the Services may occasionally be inaccurate or out-of-date. We may correct errors without notice. Beta/experimental features are provided as-is and may be withdrawn.

12. Intellectual Property; Software License

The Services, App, software, templates, workflows, designs, and trademarks are owned by Propi or its licensors and are protected by IP laws. Subject to these Terms, Propi grants you a limited, revocable, non-exclusive, non-transferable license to install and use the App on devices you own or control, for your professional use. You may not copy, modify, distribute, rent/lease, sublicense, or create derivative works of the Services or any part thereof, except as expressly permitted.

13. Data & Privacy

We collect only necessary personal data (e.g., account details, usage data). Data is securely stored and not shared except as required to operate services or by law. Cookies and analytics are used to improve performance. See our [Privacy Policy] for full details, which is incorporated into these Terms by reference.

14. Termination

You may stop using the App or cancel your subscription at any time. We may suspend or terminate access for misuse, fraud, or breach of these Terms. On termination, your license ends and access ceases. We may retain certain records as required by law and for legitimate business purposes.

15. Limitation of Liability

To the maximum extent permitted by law, Propi shall not be liable for any indirect, incidental, special, or consequential damages arising from or in connection with your use of the App. We are not responsible for the accuracy, legality, or outcomes of property listings, sales, or related transactions, nor do we assume any liability for compliance with real estate laws or regulations. Nothing in these Terms excludes liability for fraud or willful misconduct. Propi further disclaims responsibility for any errors or inaccuracies in AI-generated content, technical interruptions, or failures caused by third-party services. You acknowledge and agree that your use of the App is entirely at your own risk.

16. Indemnification

You will defend, indemnify, and hold harmless Propi and its affiliates, officers, directors, employees, and agents from and against all claims, damages, liabilities, costs, and expenses (including reasonable legal fees) arising from: (i) your use of the Services; (ii) your User Content; (iii) your breach of this Agreement; (iv) your violation of law or third-party rights.

17. Electronic Communications & Notices

You consent to receive notices and communications electronically (email, text, in-App, website). Such communications satisfy any legal requirement for “written” communications.

18. Dispute Resolution

These Terms are governed by the laws of the United Arab Emirates. Disputes will be resolved exclusively in the courts of the UAE. Class/collective action waiver: You agree to bring claims only in your individual capacity, not as a class or representative action.

19. Changes to Terms

We may update these Terms from time to time. Continued use of the App after changes means you accept the updated Terms.

20. Miscellaneous

If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in full force and effect. Our failure to enforce any right or provision under these Terms will not be considered a waiver of such right or provision. You may not assign or transfer this Agreement without our prior written consent; however, we may assign or transfer it to an affiliate or in connection with a merger, acquisition, or transfer of assets. These Terms, together with our Privacy Policy and Subscription Terms, constitute the entire agreement between you and Propi regarding the Services. In the event of any conflict, the Subscription Terms shall govern billing and cancellation matters, while these Terms shall govern all other matters.
